1. Who we are

These Terms of Service ("Terms") are a binding agreement between you and IdeaBank.ai ("IdeaBank.ai", "we", "us", or "our"), the provider of the IdeaBank.ai website, application, and related services (the "Service"). By creating an account or using the Service you are contracting with IdeaBank.ai.

2. Acceptance of these Terms

By accessing or using the Service you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service. Continued use of the Service following changes to these Terms constitutes acceptance of those changes.

3. Eligibility and accounts

You must be of legal age in your jurisdiction and, if using the Service on behalf of an organization, you confirm you have authority to bind that organization. You are responsible for keeping your account credentials confidential and for all activity under your account, and you must provide accurate information and keep it up to date.

4. The Service

IdeaBank.ai provides AI-assisted tools to help users turn ideas into launch plans, brand directions, checklists, and related outputs. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service within the plan you have selected.

5. Acceptable use

You agree not to misuse the Service. In particular, you must not:

• use the Service for unlawful purposes, fraud, spam, or to harass others;
• infringe the intellectual property or privacy rights of any third party;
• upload malware, probe, scan, or otherwise interfere with security of the Service;
• scrape, reverse engineer, resell, or redistribute the Service;
• circumvent technical limits, usage quotas, or access controls;
• generate illegal content, deepfakes, hate speech, or content designed to deceive;
• attempt to jailbreak the underlying AI models or use outputs to build a competing product.

6. AI outputs and your responsibility

You are responsible for your prompts, the way you use outputs, and for verifying the accuracy and suitability of any output before relying on it. Outputs may be inaccurate, incomplete, or unsuitable for regulated professional advice (legal, medical, financial, tax) and should not be used as a substitute for qualified professional judgment. You confirm you have the necessary rights to any content you submit as input.

We may moderate, restrict, filter, or refuse outputs and may remove content or suspend accounts that violate these Terms. Rights-holders who believe content infringes their rights can contact us to request takedown; repeated infringers will have their accounts terminated.

7. Intellectual property

The Service, including all software, models, documentation, branding, and other materials, is owned by IdeaBank.ai or its licensors and is protected by intellectual property laws. We retain all rights not expressly granted to you. You retain ownership of content you submit; you grant us a limited license to host and process that content solely to provide the Service.

8. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions renew automatically at the end of each billing period until canceled. You can cancel at any time and retain access until the end of the current paid period. See our Refund Policy for refund eligibility.

9. Service availability and warranties

The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, error-free, or meet your specific requirements. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

10. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is capped at the fees you paid us in the twelve (12) months preceding the event giving rise to the claim. We will not be liable for indirect, consequential, incidental, special, or exemplary damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

11. Indemnity

You agree to indemnify and hold IdeaBank.ai harmless from any claim or demand arising from your content, your use of the Service, or your breach of these Terms.

12. Suspension and termination

We may suspend or terminate your access to the Service, in whole or in part, for: material breach of these Terms; non-payment; suspected fraud or security risk; or repeated or serious policy violations. You may stop using the Service at any time. On termination your right to use the Service ends immediately; we will provide a reasonable period to export your data where feasible, after which we may delete it.

13. Changes to the Service or these Terms

We may update the Service and these Terms from time to time. Material changes will be communicated via the Service or by email. Your continued use after such changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the jurisdiction in which IdeaBank.ai is established, without regard to conflict-of-laws principles. Disputes will be resolved by the competent courts of that jurisdiction, unless otherwise required by mandatory consumer law.

15. Assignment and force majeure

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond reasonable control.
